VeilForge Intelligence Ltd · Launch version, 6 November 2026
IMPORTANT: PLEASE READ THESE TERMS THOROUGHLY BEFORE ACCEPTING. IN PARTICULAR, WE DRAW YOUR ATTENTION TO CLAUSE 2.4 ON OUR HOST'S INTERNAL AI TRAINING, AND THE LIABILITY LIMITS IN CLAUSE 5.
This licence (“Licence”) is between VeilForge Intelligence Ltd, a company incorporated in England and Wales, under company number 17491260, with registered office 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ, email: support@veilforge.co.uk (“we”, or “us”), and the business identified at registration (“you”).
You contract solely for business purposes; a sole trader contracts personally in that capacity. The person accepting warrants authority to bind the business they represent and intend on providing services on behalf of.
This Licence starts when you accept and complete registration (“Sign-up”).
By selecting “Accept”, you bind the registered business to this Licence, including the upload notice, subscription terms and liability limits. If you do not agree, do not register or use the Services. Our separate Privacy Notice explains our controller processing.
1.1. Licence: We grant you a non-exclusive, non-transferable, non-sublicensable, revocable, worldwide and royalty-free licence for the first 30 consecutive days from Sign-Up, unless a different period is confirmed at the point of Sign-Up (“Trial Period”) to use the Services, Software and Documents (collectively, “VeilForge”) for your business, including supporting services to principals.
1.2. Trial Period and Subscription: Your use of VeilForge for the Trial Period is free. Once the Trial Period expires, your continued use of VeilForge requires a paid subscription. Therefore, upon the expiry of the Trial Period, you agree to a monthly subscription, commencing on the first day after the expiry of the Trial Period, which renews automatically each month at the then current price, as set out on the Domain.
1.3. Cancelling your Subscription: If you do not wish to continue your subscription (and pay the monthly subscription fee) after the Trial Period, you must:
1.3.1. cease your use of VeilForge by no later than the end of your Trial Period; and,
1.3.2. cancel your subscription under the “Manage Billing” section of the “My Profile” area.
All subscription fees are payable monthly in advance using the authorised payment method as set out under the “Manage Billing” section. If you cancel your subscription during any month, you will continue to have access to VeilForge for the remainder of that month. No part-month refund is due for cancellation. We may suspend access for overdue undisputed fees after 7 days' notice.
2.1. Your Details: You are responsible for accurate registration details, those persons authorised by you to use VeilForge (“Authorised Users”), secure credentials, suitable connectivity, prompt notification of unauthorised access and independent backups and continuity arrangements.
2.2. Your Warranties: You warrant that, at all times, you will:
2.2.1. comply with applicable law and the “Upload Notice” as set out in clause 2.4;
2.2.2. not upload unlawful or infringing material, introduce malicious code, compromise security or access others' information without authority.
2.2.3. not copy, modify, reverse engineer or distribute our Software or Documents, remove proprietary notices, circumvent access controls or use our proprietary materials to develop a competing product.
For clarity, recording threats for lawful protection purposes is not prohibited merely because it describes harmful conduct.
2.3. Data, Information and Materials you upload: You warrant that any materials you upload, including any principal-specific material, excluding our Software and non-identifying generic analytics (“Licensee Data”), and your instructions in uploading such Licensee Data comply with applicable law and that you have all rights, lawful bases, confidentiality permissions and notices required for uploading and using such Licensee Data in VeilForge. We may restrict access or remove Licensee Data where reasonably necessary for security, suspected unlawful use, breach or legal compliance. For clarity, neither this allocation of responsibility nor the Upload Notice below in clause 2.4 removes our own legal duties.
2.4. Upload Notice: Our host (Wix.com Ltd. t/a “Base44”, whose Terms of Service are available at https://base44.com/about-us/legal/terms-of-service) may use any Licensee Data to train its own internal AI models to improve its services and that content may appear in outputs seen within its business, but not externally. We do not guarantee that any Licensee Data will not be reproduced internally with Base44 or that deletion reverses completed training. This use is subject to conditions 2, 3 and 9. You must always ensure that you hold the necessary rights, confidentiality permissions and lawful basis, and provide required privacy information, in respect of any sensitive and/or personal material contained within any Licensee Data. You must not upload any Licensee Data whose disclosed reuse could reasonably compromise anyone's safety.
3.1. Warranty: VeilForge is provided “as is” and “as available”, without contractual warranties of availability, fitness, accuracy, error-free operation, support or recovery. Implied terms are excluded only so far as lawful. This does not exclude condition 9 or non-excludable duties.
3.2. Your judgment: We provide software, not protection, safeguarding or emergency services. Do not rely on VeilForge as the sole basis for safety-critical decisions or sole operational record. You retain responsibility for professional judgments, verification and emergency procedures.
4.1. Lawful exclusion: Nothing in this Licence excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or liability which cannot lawfully be limited under the laws of England and Wales.
4.2. Excluded types of loss: Subject to clause 4.1, we exclude liability for lost profit, revenue, savings, business opportunity or goodwill, whether direct or indirect, and indirect or consequential loss.
4.3. Liability cap: Subject to clause 4.2, our aggregate liability under or in connection with this Licence, in contract, tort (including negligence), statutory duty or otherwise, is limited to the sum of any subscription fees actually paid by you in the 12 months before the first event giving rise to liability.
5.1. IPR in VeilForge: We or our licensors retain all intellectual property rights in VeilForge. For clarity, VeilForge is licensed, not sold; no source-code rights are granted.
5.2. IPR in Licensee Data: You or the relevant rights holders retain all intellectual property rights in Licensee Data. You grant us worldwide, royalty-free, sub-licensable licence, for the duration of your subscription, to use, copy, transmit and adapt Licensee Data to provide, secure and support VeilForge and comply with applicable law. Subject to clause 9 and rights you hold or may grant, you also authorise Base44’s internal training and internal outputs described in the Upload Notice in clause 2.4.
5.3. Confidentiality: Each party must keep the other's confidential information confidential, use it only for the purposes of performing their obligations under and in connection with this Licence, and disclose it only to recipients needing it who owe confidentiality duties, or as applicable law requires. This excludes information lawfully public, already known, independently developed or lawfully received without restriction. These duties survive 5 years from the date of termination or expiry of this Licence.
6.1. Suspension: We may suspend your access and/or use of VeilForge at our sole and absolute discretion, in accordance with clauses 1.3 or 2.2.
6.2. End of Trial Period: We may suspend or end the Trial Period for any reason on 7 days' notice.
6.3. Material Breach: We may terminate this Licence if you commit any material breach which remains unremedied 14 days after notice, or immediately if irremediable.
6.4. Termination for convenience: We may terminate this Licence on 30 days’ written notice to you.
6.5. Consequence of termination: On termination of this Licence for any reason, access to VeilForge shall immediately cease unless otherwise agreed and any accrued fees remain payable.
7.1. Notices: Please send notices to our contact email; we shall use your registered email. Notices shall take effect on receipt.
7.2. Changes to this Licence: We may change these terms of this Licence, from time to time, on 30 days' notice. You may cancel before the change takes effect; continued use of VeilForge constitutes deemed acceptance of the relevant changes. Where we need to make any changes strictly required by applicable law or for urgent security needs, we may take effect earlier on notice.
We are not liable for delay caused by events beyond our reasonable control. Either party may terminate this Licence after 30 days of such an event where VeilForge is unavailable for a consecutive period of 30 days or more.
9.1. Terms used: Any terms used in this clause 9 but not defined shall have the meanings given to them in “Data Protection Legislation” being all applicable data protection and privacy legislation in force from time to time in the UK including the Data Protection Act 2018 (DPA 2018) and “UK GDPR” being section 3(10) (as supplemented by section 205(4)) of the Data Protection Act 2018.
9.2. Roles: Each party must comply with Data Protection Legislation. The parties agree that you are the Controller and we are the Processor, or, for Licensee Data made up of principal’s Personal Data, you are an authorised Processor appointing us as Sub-Processor with the Controller's authority.
9.3. Scope of Processing: We will process Personal Data contained in Licensee Data to provide the Services for the duration of this Licence and any subsequent return or deletion of that data. This includes hosting, storing, organising, retrieving, transmitting, supporting, securing, returning and deleting the data. The Personal Data may relate to principals, your personnel, contacts and individuals identified in operational or incident records, and may include identifiers, contact details, dates, locations, itineraries and protection-related operational or incident information. Health data, other special categories of Personal Data and criminal-offence data may be uploaded only where the additional statutory conditions are met. You determine the purposes of the service processing, retain your rights as Controller where applicable and must provide lawful instructions. Your acceptance of this Licence and permitted use of VeilForge constitute standing documented instructions for that Processing; no separate approval is required for each customer, principal or upload.
9.4. Lawful Basis: You must ensure that the relevant Controller has a lawful basis for Personal Data contained within any Licensee Data and the disclosed uses, meets any additional statutory conditions, has the necessary confidentiality permissions and provides legally required information to affected individuals, including principals. We do not need a separate Article 6 lawful basis when acting solely as your Processor or sub-Processor on your instructions. If we act as Controller when disclosing Personal Data for internal AI training, we must establish our own lawful basis. Where we do so, we rely on Article 6(1)(f) of the UK GDPR, the legitimate interest is improving the reliability, security or functionality of the hosting services supporting VeilForge, subject to the required necessity and balancing assessment. Base44 must establish its own lawful basis for its purposes. Neither this Licence nor your purported consent on another person's behalf establishes lawfulness. Common arrangements may be assessed once for materially equivalent uses and reviewed where required; routine uploads do not require separate clearance.
9.5. Our Obligations: When acting as your Processor or Sub-Processor, we will:
9.5.1. process Personal Data only on documented lawful instructions, including instructions concerning transfers, unless Data Protection Legislation requires otherwise, in which case we will notify you before processing unless prohibited by law;
9.5.2. immediately inform you if an instruction infringes applicable Data Protection Legislation;
9.5.3. ensure that authorised personnel are bound by confidentiality obligations;
9.5.4. implement appropriate security measures under Article 32 of the UK GDPR;
9.5.5. notify you without undue delay after becoming aware of a Personal Data Breach;
9.5.6. assist you with requests from individuals exercising their rights, through appropriate measures taking account of the nature of the processing, and with your obligations under Articles 32 to 36 of the UK GDPR, taking account of the nature of the processing and the information available to us; and,
9.5.7. provide the information necessary to demonstrate compliance with Article 28 of the UK GDPR and allow and contribute to audits and inspections by you or your appointed auditor, subject to reasonable confidentiality and security arrangements that do not obstruct those rights.
9.6. Sub-Processors and Transfers: You give general authorisation for us to appoint the service Sub-Processors identified, together with their services and processing locations, in our Privacy Statement. We will notify you in advance of any intended additions or replacements, giving you an opportunity to object, and impose the obligations required by Article 28 of the UK GDPR on each Sub-Processor. We remain responsible for their performance. If an objection cannot be resolved, we may terminate the affected Services without using the disputed Sub-Processor for your Personal Data and refund any unused prepaid fees. By accepting this Licence, you instruct us to make transfers necessary for the disclosed service arrangements, but only where the requirements of Chapter V of the UK GDPR are met.
9.7. Return and Deletion: When we finish processing Personal Data to provide the Services, we will, at your choice, return or delete that Personal Data and delete existing copies, unless applicable law requires us to retain them. This clause 9 prevails over any conflicting terms concerning the processing of Personal Data.
10.1. Entire Agreement: This Licence and registration particulars are the entire agreement for the Services, to the exclusion of any terms you may seek to impose or imply.
10.2. Transfer: You may not transfer this Licence without our consent. We may transfer it to a successor to the relevant business on notice without reducing your rights.
10.3. Third parties: No third party may enforce this Licence under the Contracts (Rights of Third Parties) Act 1999.
10.4. Governing law and Jurisdiction: This Licence and any contractual or non-contractual dispute relating to it are governed by English law. The courts of England and Wales have exclusive jurisdiction to settle any matter relating to this Licence.
